Suitbl Terms of Service

These Terms of Service (Terms) govern your access to and use of the Suitbl websites, applications, and services, including SmartPitch and any related features (collectively, the Services), provided by Suitbl, Inc. (Suitbl, we, us, or our). By accessing or using the Services, you agree to these Terms.

If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and you refers to that entity.

1. Important Notices

Not a law firm, no legal advice. Suitbl is not a law firm and does not provide legal advice. Any contract reviews, clause summaries, recommendations, risk flags, templates, suggested edits, negotiation tips, or other outputs (including AI generated outputs) are for informational purposes only and do not constitute legal advice. You should consult a qualified attorney for any legal questions or decisions.

No guarantee of outcomes. We do not guarantee business results, deals, revenue, audience growth, or any outcome from using the Services.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. Accounts, Security, and Access

• You are responsible for all activity under your account and for maintaining the confidentiality of login credentials.
• You must promptly notify us of any unauthorized use or security breach.
• We may require you to provide accurate and current account information and may suspend or terminate accounts that provide inaccurate information or violate these Terms.

4. Subscriptions, Fees, and Taxes

If you purchase a subscription or paid plan:

• Fees are billed in advance and are non refundable except as required by law or expressly stated in a written plan description.
• You authorize us and our payment processor to charge your payment method.
• You are responsible for applicable taxes.

We may change pricing or plan features with reasonable notice.

5. License to Use the Services

Subject to these Terms, we grant you a limited, non exclusive, non transferable, revocable license to access and use the Services for your internal business purposes.

6. Restrictions and Acceptable Use

You agree not to, and not to allow anyone else to:

• Copy, modify, or create derivative works of the Services except as permitted by law.
• Reverse engineer, decompile, or attempt to discover source code or underlying models, systems, or data structures.
• Circumvent rate limits, access controls, or security measures.
• Use the Services to violate any law, regulation, or third party rights.
• Use the Services to scrape, harvest, or collect information in violation of applicable platform terms or privacy laws.
• Interfere with or disrupt the integrity or performance of the Services.

7. Suitbl Data, Brand Data, and Prohibited Reuse or Resale

The Services may provide access to Suitbl proprietary datasets, including brand related information, categorizations, enrichment, partnership intelligence, benchmarks, and analytics (Suitbl Data). Suitbl Data includes any brand lists, brand attributes, brand contact intelligence, partnership insights, deal benchmarks, and derived signals surfaced by the Services, whether displayed in the UI, exported, or accessed via API.

You may use Suitbl Data only for your internal business purposes in connection with the Services. You expressly agree that you will not:

• Resell, rent, lease, sublicense, distribute, or otherwise make Suitbl Data available to any third party without our prior written consent.
• Use Suitbl Data to build or enhance a competing product or service, including training or improving third party databases or models that provide substantially similar functionality.
• Publish, share, or disclose Suitbl Data except as necessary for your internal operations and only to authorized personnel bound by confidentiality obligations.
• Remove or alter any proprietary notices or attribution included with Suitbl Data.

We may monitor for and investigate violations and may suspend or terminate access immediately for suspected misuse.

8. User Content and Inputs

You may submit information to the Services, such as brand lists, creator data, communications, contract text, deal terms, and other materials (User Content). You retain ownership of your User Content. You grant Suitbl a worldwide, non exclusive, royalty free license to host, store, transmit, display, reproduce, and process User Content solely to provide, maintain, secure, and improve the Services and as otherwise permitted by law and our Privacy Policy.

You represent and warrant that you have all necessary rights to provide User Content and that providing it does not violate any law or third party rights.

9. AI Features, Outputs, and Service Improvement

Some features may use automated systems, including machine learning and AI (AI Features). AI Features may generate suggestions, summaries, classifications, benchmarks, or draft content (Outputs).

• Outputs are provided as is and may be inaccurate, incomplete, or inappropriate for your specific situation.
• You are responsible for reviewing Outputs before relying on them, sharing them, or using them in business decisions.

Service improvement: We may use aggregated usage patterns, operational telemetry, and limited portions of User Content and Outputs, in a manner designed to minimize identification, to develop, maintain, and improve the Services and AI Features. Where required by law, we will obtain consent or provide opt out mechanisms. We do not intend to use your confidential contract terms or sensitive information for generalized model training in a way that would disclose your information to others.

10. Contract Review Disclaimer

Any contract related features are informational tools. Suitbl does not provide legal advice, create an attorney client relationship, guarantee enforceability, compliance, or outcomes, or replace the need for qualified counsel. You acknowledge that contract interpretation and legal risk depend on context, jurisdiction, and facts outside the Services.

11. Third Party Services and Platform Data

The Services may integrate with third party services. Your use of third party services is subject to their terms and policies. We are not responsible for third party services, including their availability, data accuracy, or changes that limit integrations.

12. Privacy

Our Privacy Policy explains how we collect, use, and share data. By using the Services, you agree to the Privacy Policy available at /privacy.

13. Confidentiality

You may receive non public information about Suitbl and the Services. You agree not to disclose it except to employees and contractors who need it and are bound by confidentiality obligations. Suitbl Data is confidential and proprietary.

14. Suspension and Termination

We may suspend or terminate your access immediately if you violate these Terms, we believe your use poses a security or legal risk, or we are required to do so by law or a platform provider. You may stop using the Services at any time. Upon termination, the license granted to you ends.

15. Disclaimers

The Services, Suitbl Data, AI Features, and Outputs are provided as is and as available. To the maximum extent permitted by law, Suitbl disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non infringement, and accuracy. We do not warrant that the Services will be uninterrupted, error free, secure, or that defects will be corrected.

16. Limitation of Liability

To the maximum extent permitted by law, Suitbl will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility. Suitbl will not be liable for losses arising from errors, downtime, service interruptions, platform or API changes, or malfunctions.

In no event will Suitbl total liability for all claims in any twelve month period exceed the amount you paid Suitbl for the Services in that period, or if you paid nothing, one hundred dollars.

17. Indemnification

You agree to defend, indemnify, and hold harmless Suitbl and its officers, directors, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys fees) arising out of your use of the Services, your User Content, your violation of these Terms, laws, or third party rights, or your reuse or distribution of Suitbl Data in violation of these Terms.

18. Dispute Resolution; Arbitration; Class Action Waiver

You and Suitbl agree to resolve disputes through binding arbitration, except for claims eligible for small claims court or claims seeking injunctive relief for misuse of intellectual property or Suitbl Data. You agree to bring claims only on an individual basis and not as part of a class, collective, or representative action.

Governing rules and venue: to be specified in your final commercial version based on counsel guidance and your customer geography.

19. Intellectual Property

Suitbl and its licensors own the Services, Suitbl Data, and all related IP. These Terms do not grant you rights to our trademarks or branding.

20. Changes to the Services and Terms

We may modify the Services or these Terms. If changes are material, we will provide notice (for example via email or in app). Your continued use after the effective date constitutes acceptance.

21. Miscellaneous

• Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or sale.
• Severability: If any provision is unenforceable, the rest remains in effect.
• No waiver: Failure to enforce a provision is not a waiver.
• Entire agreement: These Terms and the Privacy Policy are the entire agreement regarding the Services.
